Louis J. Posner, P.C. has been an active law firm
in New York City for over
fifteen years concentrates primarily in Trusts & Estates, Tax Law, Bankruptcy and Reorganization, Civil and Commercial
Litigation, Real Estate and Business and Securities Law. Posner's client roster includes Chase Bank and closely
held businesses in real estate, construction, manufacturing, finance,
wholesale/retail, entertainment, high technology and internet, and oil and gas.
Posner has been a practicing attorney for over 16 years and a licensed CPA for
over 25 years.
Posner's Estates and Trusts practice includes Estate Planning for high net worth
individuals and closely held businesses. Posner has extensive experience and
expertise in the drafting of Living Trusts as an alternative to wills. Posner
has also been involved in drafting numerous trusts, including life insurance
trusts, qualified personal residence trusts (QPRT), disability trusts, and
Medicaid planning trusts. Posner has extensive experience in probating estates,
estate and trust accountings, and estate litigation, including will contests.
Posner has served as a Court appointed Guardian ad Litem for the Surrogate's
Court in Manhattan where he has handled estate matters of up to $40 million. The
firm also handles asset protection planning, including the use of offshore asset
protection trusts.
Posner is a highly experienced tax attorney with experience in
every facet of the tax law, including federal, state, and international tax
planning and research. Posner has represented over 100 taxpayers in IRS audits,
IRS appeals, U.S. Tax Court proceedings and suits in the U.S. District
Court.

Posner, P.C. has substantial experience in debtor/creditor law, including debt
restructurings, Chapter 7 bankruptcies for individuals and businesses, and
reorganizations under Chapters 11 and 13 of the Bankruptcy Code. Posner has
handled both contested proceedings and adversary proceedings in the U.S.
Bankruptcy Court, as well as bankruptcy appeals to the U.S. District Court.
Louis J.
Posner, P.C. handles state and federal civil and commercial litigation and
appeals. Posner has appeared before the various New York State and federal
courts, including Civil Court, Surrogate's Court, State Supreme Court,
Criminal Court, Appellate Division, Court of
Appeals, U.S. Tax Court, U.S. District Court,
U. S.
Bankruptcy Court, U.S. Court of Appeals,
and the U.S. Supreme Court. Posner's extensive litigation experience includes serving as defense counsel in
the Motel 6 Securities Litigation, one of the nation's largest insider trading
cases brought by the SEC and by a separate class action. Posner also represented the plaintiff in Ox v.
Union Central, a case involving wrongful rescission of a disability
insurance policy, which was reported in Westlaw, Lexis, Mealey's Litigation
Reporter and the American Disabilities Reporter.
The Firm has an active real estate practice, including commercial and residential closings, and drafting office and store leases. For property owners, Posner also does tax certiorari work to reduce property taxes, and cost segregation studies to increase depreciation deductions.
The Firm actively practices in business law, securities law,
trademarks and cyber law. Posner has substantial experience in the preparation of business plans and
Private Placement Memorandums (PPM) under Regulation D of the Securities law.
Prior to being in private practice, Posner had over 10 years of large firm experience.
As a Tax Specialist with
the General Tax Counsel's Office of Integrated Resources, Inc., a major NYSE
listed financial services firm, Posner was involved with the analysis of the tax
and financial aspects of Private Placement Memorandums in real estate and
equipment leasing, as well as representation before the IRS and U.S. Tax Court
on behalf of syndicated limited partnerships. Prior to being in the
financial services sector, Posner was a Tax Supervisor and Audit Senior with International and "Big
4" CPA firms where he serviced major clients in real estate, banking and
international commerce.
Posner holds an M.S. in Taxation from Pace University in New York City
in 1985 and a J.D. from New York Law School in New York City in 1989.
Posner has lectured before various professional organizations, including the New
York State Society of CPA's, the Foundation for Accounting Education, the New
York Law School Alumni Society, the Pace University Continuing Education
Program and the National Business Institute. Posner was also the producer and host of the cable TV program
"Your Legal Rights" and was an expert panelist for NewsTalk
Television, a nationally televised cable TV program.
Posner is listed in "Who's Who in American Lawyers," Who's Who in America," and "Who's Who in the World." Posner has been a member of various professional, business and professional organizations, including the New York State Bar Association, the American Institute of CPA's, the American Association of Attorney/CPA's. Posner is a member of Mensa.
